Modern transactions involve much more than agreeing a purchase price. M&A lawyers must understand the client’s commercial objectives, investigate the target business through due diligence, a detailed review used to verify information and identify legal, commercial and financial risks, coordinate stakeholders and negotiate protections that support a successful transaction.

In this job simulation, you will support Herbert Smith Freehills Kramer’s International M&A team on a proposed cross-border acquisition. As the transaction progresses, you will:

document the principal commercial terms
support the due diligence process
assess and communicate key transaction risks
consider protections for the buyer in the acquisition agreement
advise the client as the transaction moves towards completion
